ACCEPTANCE OF TERMS
By accessing our website, engaging any of our services, or entering into any agreement with Ketro Digital Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms & Conditions.
These Terms apply to all clients, users, affiliates, and partners. If you do not agree with any part of these Terms, you must not use our services.
INTRODUCTION
Ketro Digital Services (“Company”, “we”, “our”, “us”) is a digital agency providing creative, technical, marketing, and business automation solutions.
These Terms govern your use of our website, engagement of our services, participation in our affiliate program, and any communication or transaction with our business.
SCOPE OF SERVICES
We provide a wide range of services including but not limited to website design and development, mobile app UI/UX design, branding and identity design, graphic and marketing materials, search engine optimization (SEO), paid advertising (media buying), social media management, content strategy, media production, campaign development, outdoor advertising, CRM setup and automation, sales funnels, business management systems such as school, hospital, HR, gym and recruitment systems, membership platforms, CBT systems, niche website solutions, social growth and engagement services, and printing and offline branding.
Each service may have its own defined scope, deliverables, pricing, and agreement.
PROJECT ENGAGEMENT AND SCOPE
A project is considered active only after payment has been received. A clear scope of work will be agreed upon before execution begins. Any request outside the agreed scope will be treated as additional work and billed accordingly.
Timelines provided are estimates and may be affected by client delays, scope changes, technical limitations, or third-party dependencies.
CLIENT RESPONSIBILITIES
Clients agree to provide accurate and complete information at all times. Clients must supply required content, materials, and access credentials in a timely manner. Clients are responsible for responding to feedback and approval requests promptly.
Clients must ensure they have the legal rights to all materials, content, and assets provided. Any delay caused by the client may affect delivery timelines and may result in additional costs.
PAYMENTS, FEES AND BILLING
Payments may be required in full, in milestones, or on a subscription basis depending on the service. All payments made are non-refundable unless explicitly stated otherwise.
Failure to make payments may result in project suspension or termination. Additional services, revisions, or requests outside the agreed scope will incur extra charges.
REVISIONS, FEEDBACK AND APPROVALS
Each project includes a defined number of revisions. Any additional revisions beyond the agreed limit will be billed separately. Clients are expected to provide clear and consolidated feedback.
Once final approval is given, the project is considered complete and any further changes will be treated as a new request.
INTELLECTUAL PROPERTY
Ownership of final deliverables is transferred to the client only after full payment has been made. Ketro Digital Services retains the right to display completed work in its portfolio and marketing materials unless otherwise agreed.
Any third-party tools, plugins, templates, or systems used remain subject to their respective licenses and ownership terms.
SAAS, AUTOMATION AND THIRD-PARTY SERVICES
Some services rely on third-party platforms such as hosting providers, CRM tools, and automation systems. Ketro Digital Services is not responsible for outages, downtime, policy changes, or limitations imposed by these third-party services.
Clients may be required to maintain active subscriptions for certain systems to function properly.
MARKETING, SEO AND ADVERTISING DISCLAIMER
We do not guarantee specific results such as increased sales, search engine rankings, or viral performance. Results depend on multiple external factors including market conditions, competition, audience behavior, and client input.
Clients are responsible for advertising budgets and campaign approvals.
SOCIAL GROWTH AND ENGAGEMENT SERVICES
These services are designed to improve visibility, reach, and interaction. We do not guarantee specific numbers such as followers, views, or engagement metrics. All strategies are implemented responsibly to maintain platform compliance.
PRINTING AND PRODUCTION SERVICES
All designs must be reviewed and approved by the client before production. Ketro Digital Services is not responsible for errors in designs that have been approved by the client.
Production timelines depend on third-party vendors and may vary.
CONFIDENTIALITY AND DATA PROTECTION
We respect client confidentiality and handle all sensitive information with care. We do not sell, share, or disclose client data without consent unless required by law.
LIMITATION OF LIABILITY
Ketro Digital Services shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, revenue, data, or business opportunities.
Our total liability is limited to the amount paid for the specific service provided.
TERMINATION AND SUSPENSION
We reserve the right to suspend or terminate services in cases of non-payment, breach of terms, misuse of services, or any behavior that negatively impacts our operations.
Clients may choose to terminate a project; however, all payments made are non-refundable.
SUPPORT AND MAINTENANCE
Ongoing support is only provided under active support or maintenance agreements. Any additional support outside the agreed scope may incur extra charges.
AFFILIATE PROGRAM TERMS
By applying to or participating in the Ketro Digital Affiliate Program, you agree to the following terms.
We reserve the right to approve or reject any affiliate application at our discretion. Affiliates must promote our services ethically, truthfully, and in alignment with our brand.
Affiliates must not engage in spam, misleading advertising, impersonation, or misuse of our brand assets.
Commissions are earned only on successful, completed, and paid referrals. Commission structures will be communicated upon approval. Payments are made on scheduled cycles and may be subject to minimum payout thresholds.
Any fraudulent, canceled, or disputed transactions will result in the cancellation of commissions.
We reserve the right to terminate any affiliate account at any time due to violations, fraud, or brand misuse.
CHANGES TO TERMS
We reserve the right to update or modify these Terms & Conditions at any time. Continued use of our services constitutes acceptance of the updated terms.
GOVERNING LAW
These Terms & Conditions shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria.
